UPFRONT BRIEFING
Gilead went to Shanghai after Thursday's bell and came back with a pill: $1.275B in cash, upfront, for PepStar's Phase 1 oral IL-23R peptide, days after its own oral α4β7 drug cleared Phase 2. The same evening Treasury published draft COINS rules that would bar US equity stakes in most of China biotech while sparing plain licensing. Timing, as they say, is everything.
Moderna and Merck finally showed the INTerpath-001 hazard ratio, 0.58, after a leak forced it out two days early. Good enough for a label, not for a stock up 525% this year. ESMO opens in Madrid today with the full melanoma show on Saturday, and ASN Kidney Week runs through Sunday.
TAPE ACTION

Healthcare outperformed on a risk-off day, XLV +1.3% while XBI, NBI and BBC each slipped 0.7%. The day's big single-name move was Moderna, down 21% after INTerpath-001 data leaked Thursday morning and were posted that afternoon, with Avalo off about 36% on AbbVie's HS readout.
AI-capex doubts hit tech: Meta fell 7.0% on its first cash outflow in over a decade and the SOX lost 6.7%, leaving NDX (2.9%) and the S&P (1.2%) lower, while the Dow finished flat (+0.02%) with P&G +5.6% and Lockheed +7.0% and RUT edged up 0.1%; the 10Y slipped back below 5%, Houthi strikes on Saudi targets pushed crude to a five-month high, and 8:30 ET jobless claims printed 194k, a three-month low.
THE BIG 3
1️⃣ — Gilead pays $1.275B upfront for PepStar's oral IL-23R pill
Gilead is acquiring worldwide rights to HCXT-2001, Shanghai-based PepStar's Phase 1 oral macrocyclic peptide IL-23R inhibitor for IBD and psoriasis, for $1.275B in cash upfront; milestones and royalties were not disclosed. Announced after Thursday's close, the deal is expected to close in Q4 and cut Q4 EPS by $0.79-0.83.
Why it matters: Big cash for a Phase 1 asset with no published clinical data (Citi's Geoffrey Meacham), and it prices oral IL-23R as a franchise rather than a project after J&J's Icotyde showed a peptide pill can compete with injectables in psoriasis. Gilead's stated plan is a daily oral IBD regimen, HCXT-2001 alone or paired with emvistegrast, the oral α4β7 that posted 31% versus 8% clinical remission at week 12 in Monday's Phase 2 UC data.

2️⃣ — Moderna, Merck's 0.58 hazard ratio clears the bar, not the stock
Detailed INTerpath-001 data, pulled forward to Thursday after an ESMO embargo breach, showed intismeran autogene plus Keytruda cut melanoma recurrence-or-death risk 42% versus Keytruda alone (RFS HR 0.58; 24-month RFS 82.2% vs 70.0%). DMFS HR was 0.62 (88.5% vs 80.2%); grade 3-5 treatment-related AEs ran 14.2% vs 13.4%. Full presentation Saturday at ESMO.
Why it matters: August gave the topline; Thursday gave the numbers the market had been pricing blind. Analysts had modelled an RFS hazard ratio as low as 0.5 off the Phase 2 (RBC: 0.51), so 0.58 sits inside management's 0.5-0.8 "meaningful" range but outside the bull case. The bigger gap is distant metastasis, the endpoint Moderna had pitched as decisive: a 38% risk reduction against 65% in the Phase 2 primary analysis. Moderna fell 21% to $193.65 and Merck about 1%. BMO said the data cannot carry elevated expectations; RBC sees approval as likely and commercial success as far less certain. A stock still up 525% this year now needs overall survival and the non-melanoma readouts to do the lifting.

3️⃣ — Treasury's draft COINS rules would bar US equity in most China biotech
Treasury proposed adding biotech to the COINS Act outbound-investment regime, classing "pharmaceutical compounds" (small molecules through cell and gene therapies and antibodies) as prohibited technology. US equity stakes, convertible debt, greenfield investment, JVs and certain LP commitments in China biotech would be barred; asset licensing for cash, milestones and royalties falls outside scope. Comments are due 7 December.
Why it matters: The text targets capital and largely spares BD. Pure licensing, the structure behind BMS's up-to-$15.2B Hengrui pact, looks safe. Equity does not: Pfizer's $100M stake in 3SBio would be prohibited, which shuts US VC rounds into Chinese biotechs and threatens the NewCo model where a Chinese licensor keeps equity, because an anti-evasion clause can reach NewCos below the 50% Chinese-ownership line. Co-development pacts with shared P&L sit in a grey zone, Pfizer-Innovent's $10.5B deal included, since Treasury left "joint venture" undefined. Grandfathering covers only deals done before 18 December 2025. BIO's John Crowley is already pushing to narrow the scope before the 7 December comment deadline.
