Upfront Briefing

Viatris opened the wallet for Pacira: $36.50 a share in cash, a 45% premium, for an Exparel-and-Zilretta franchise that did $692M last year and has until 2030 before generics show up. Zealand and Roche matched Lilly’s amylin weight-loss number in people with diabetes, though the blood-sugar line needs some explaining, and Pfizer got Tukysa into the first-line maintenance slot.

Further down, Endeavor says its IPF drug can do more than slow decline, the next PDUFA deal ring-fences cash to rehire the reviewers HHS let go, and TRexBio priced at the bottom of its range while Retension squeezed out a $45M debut. AAO opens Saturday and the World ADC Summit on Monday. Enjoy the weekend.

The Big 3

Viatris to buy Pacira for $1.65B in cash
  • Viatris agreed to buy Pacira BioSciences for $36.50 a share in cash, about $1.65B in equity value and a 45% premium to Wednesday’s close, through a tender offer it expects to close by year-end. Exparel and Zilretta did $692M in 2025 sales; Pacira booked about $746M of revenue and $177M of adjusted EBITDA in the 12 months to June.
  • Why it matters: Viatris is paying roughly 9x Pacira’s trailing adjusted EBITDA for cash flows with a known expiry. Generic Exparel can enter in early 2030 under the Fresenius Kabi and Hengrui settlements, starting at a high-single-digit share of U.S. volume and rising to the 30% range within three years, and Zilretta’s patents lapse in 2031. The bet is that Viatris’s lifecycle playbook stretches that tail, with a hospital pain bundle built around its fast-acting meloxicam, which has a 27 December PDUFA date. Leerink calls the deal immediately accretive, but formulary resistance has capped Exparel’s growth, so this buys durability rather than acceleration. Funding is mostly balance-sheet cash.

Zealand, Roche amylin drug matches Lilly on weight in diabetes
  • Petrelintide, the weekly amylin analog Roche licensed from Zealand, cut weight by up to 9.2% at week 28 vs 2.0% on placebo in the 220-patient Phase 2b ZUPREME-2 trial in people with overweight or obesity and type 2 diabetes. HbA1c fell by up to 0.65% while placebo rose 0.23%, and GI-related dropouts ran 1.9% vs 1.7%. A roughly 7,000-patient Phase 3 program is already dosing.
  • Why it matters: William Blair puts the roughly 7.2-point placebo-adjusted loss level with Lilly’s eloralintide in Phase 2, so amylin monotherapy is now a tie on weight and a contest on tolerability, where petrelintide’s placebo-like GI dropout rate is the pitch. Glucose is the soft spot: a 0.61-0.88 point placebo-adjusted HbA1c cut trails the 1.3-2.1 points incretin rivals post, which weakens the standalone diabetes case and points the drug toward maintenance, overweight patients and combination use. Roche paid $1.65B upfront for the asset last year, and ZUPREME-1 showed 9.8% in people without diabetes. The full dataset at an upcoming meeting should show how much the placebo arm’s HbA1c drift shaped the read.

Pfizer’s Tukysa wins first-line HER2+ maintenance approval
  • The FDA approved Pfizer’s Tukysa (tucatinib; HER2 inhibitor) with Herceptin and Perjeta as maintenance after induction in unresectable or metastatic HER2-positive breast cancer. In the 654-patient HER2CLIMB-05 trial, median PFS was 24.9 vs 16.3 months on Herceptin and Perjeta alone (HR 0.64; 95% CI 0.51-0.80); overall survival is not yet mature.
  • Why it matters: Pfizer is trying to rebuild a Seagen asset whose sales slipped to $463M in 2025 from $480M by moving it from later lines into a chemo-free maintenance slot. An 8.6-month PFS gain is a real benefit, but the label arrives after AstraZeneca and Daiichi Sankyo’s Enhertu won first-line approval with Perjeta in late 2025, so Tukysa competes for patients who start on taxane-based induction rather than for the whole front line. The safety section is the drag: serious liver injury in 3.9% of patients, one fatal case and 8% discontinuing for hepatotoxicity, which adds monitoring work for community oncologists. Pfizer also won an Ibrance label in a similar maintenance setting in June.
