Someone in Cambridge spent the weekend on the phone. The FT says AstraZeneca and Bristol Myers have been talking merger for months — roughly $400B of combined market cap, two overlapping checkpoint franchises, and an antitrust review nobody has priced. Pascal Soriot swatted away Pfizer’s $118B in 2014 on the grounds that AZ was better off alone. Twelve years and one NYSE listing later, the position has evolved.

Novo, meanwhile, got the ZEUS number it did not want: hazard ratio 0.99, which is what you get when a drug does precisely nothing. And Apnimed closed its first day up 56% on a sleep apnea pill that still needs an FDA signature — the IPO window is not just open, it is being climbed through.

  • Biotech took the hit on a single name: Novo Nordisk’s ZEUS Phase 3 readout for ziltivekimab landed pre-open and the ADRs closed down 8.8%, dragging XBI (2.9%) against XLV (0.6%) as the risk filter tightened inside healthcare rather than across it.
  • The broad tape closed green on Big Tech despite a bond-market warning: the 10-year Treasury yield topped 4.7% Friday, its highest since January 2025, and the 30-year hit ~5.25%, the highest since 2007, as Amazon jumped ~15% on cloud and Apple fell ~7% on soft guidance.

AstraZeneca and Bristol Myers held talks on a ~$400B merger
  • The Financial Times reported Sunday that AstraZeneca (~$264B) and Bristol Myers Squibb (~$133B) have discussed a merger over recent months, likely structured in cash and shares. AstraZeneca’s London shares fell as much as 7% Monday morning to 11,804p; BMY traded up ~2.7% pre-market after closing Friday at $65.31. AstraZeneca declined to comment.
  • Why it matters: The combination would rank fourth by market cap globally and clear AstraZeneca’s own $39B Alexion deal by an order of magnitude. The structural problem is Imfinzi sitting next to Opdivo — two checkpoint franchises under one roof, which is where the FTC’s 2023 guidelines bite, and the historical remedy is divestiture rather than a block. Mind the timing: BMS chief Chris Boerner told last Thursday’s Q2 call he felt no compulsion to chase deals, and by Sunday the FT had him in a $400B merger. Soriot is buying US scale twelve years after rejecting Pfizer’s $118B, with June’s NYSE listing as the setup. Read the spread — AZN down 7%, BMY up. That’s an acquirer being priced, not a merger of equals.

Novo’s ziltivekimab misses in ZEUS at a hazard ratio of 0.99
  • Once-monthly ziltivekimab 15 mg showed no MACE reduction versus placebo in the Phase 3 ZEUS trial (HR 0.99; 95% CI 0.88–1.11) across more than 6,300 patients with ASCVD, CKD and hsCRP ≥2 mg/L. ADRs closed down 8.8% at $47.05; Copenhagen shares fell 7.4%.
  • Why it matters: Novo paid $725M for Corvidia in 2020 plus up to $2.1B in milestones and now takes a non-cash impairment in Q3 while holding 2026 adjusted operating profit guidance. The mechanistic read is the damaging part: free IL-6 and hsCRP both fell as designed, and hard outcomes did not move, which is a biomarker-outcome dissociation that travels to HERMES in heart failure and ARTEMIS post-MI, both H1 2027. Serious infections ran higher on drug. Jefferies had framed the bar at a 20% risk reduction for broad use. Obesity and diabetes were 94% of Q1 adjusted sales; this was the leg meant to change that. H1 results Wednesday.

Apnimed prices a $192M IPO and closes its debut up 56%
  • Apnimed priced an upsized IPO at $16 — 12M shares for $192M gross, above the $134.6M it guided Monday — and closed its debut at $25, up 56%, after being halted for volatility. AD109 (Oxnimbi) carries a PDUFA date of 28 February 2027.
  • Why it matters: A 56% first-day pop on an upsized deal priced at the top of range is a demand signal, not a financing one — the book was covered multiple times with real long-only participation, per Bloomberg. New biotech and pharma entrants have raised $5.4B in 2026. The setup buyers paid for is narrow: a completed Phase 3 package, a dated FDA decision seven months out, and an oral alternative to CPAP in a market defined by device non-adherence. Shionogi-backed, with BofA, Evercore ISI, Cantor and LifeSci on the cover. The next comparable prices off this tape.
