  UPFRONT BRIEFING

Boehringer is buying options, not companies: $358M upfront and near-term for six preclinical ADC and T-cell engager programs from China's SBP Group, with more than $7B riding on opt-ins. AbbVie licensed a gut-only IBD pill that Nxera had shelved, for $100M upfront. CVS, meanwhile, decided the conglomerate discount had overstayed its welcome and will split in two by 2028.

Democrats now hold both chambers, which puts Bernie Sanders in line for an outsized say over PDUFA reauthorization. AASLD opens in Denver today, SITC runs through Sunday and AHA starts tomorrow in Chicago.

TAPE ACTION

  • Healthcare led the S&P 500 on the first session after Democrats won both chambers of Congress: XLV +3.1% vs the index's +1.6%, with XBI and NBI each +2.7% and BBC +1.9%. Hospitals and Medicaid insurers moved most (Centene +12.6%, HCA +10.3%) and large pharma rose (J&J +3.8%, AbbVie +3.1%, Novo +5.0%); Bernstein flagged delayed Medicaid cuts and Citi expects existing MFN deals to hold.

  • The Dow had its best post-midterm session in 44 years as oil fell, while the Nasdaq 100 lagged at +0.9% on concern that a Democratic Congress could slow AI data-center buildout; the Russell 2000 added 1.6%.

THE BIG 3

1️⃣ — Boehringer puts $358M near-term behind a $7B-plus option pact with China's SBP

  • Boehringer Ingelheim will pay Sino Biopharmaceutical (now SBP Group) $358M upfront and near-term for options on six preclinical cancer programs (ADCs and T-cell engagers), five from LaNova Medicines and one from Beijing Tide; option exercise and milestones take the total past $7B (Fierce Biotech puts it at $7.4B), plus tiered royalties.

  • Why it matters: Roughly 5% of the headline value lands near-term, and none of the six programs has dosed a patient: SBP runs early development and Boehringer opts in only after undisclosed clinical milestones, so most of the $7B is contingent twice over. Four assets carry rights ex-certain Asian markets; two are global. This is the pair's second oncology pact since 2024, after Boehringer's $1.26B Simcere TL1A/IL-23 licence in January and its new Shanghai R&D center in October. Option-gated preclinical structures keep China sourcing cheap while Treasury's draft COINS rules sit open for comment to 7 December. Licensing is outside that rule's scope; a NewCo or equity leg would not be.

2️⃣ — CVS to split in two, with Caremark staying beside Aetna

  • CVS Health plans a tax-free separation by 1H28 into a healthcare solutions company (Aetna, CVS Caremark, CVS Specialty, Oak Street, Signify) led by David Joyner and CVS Pharmacy (~9,000 stores, mail pharmacy, MinuteClinic) led by Prem Shah. In the same-day Q3 release, revenue was $108.4B (+5.4%) and adj EPS $2.09 vs $1.60, and 2026 adj EPS guidance rose to at least $8.20 from $7.90-8.10.

  • Why it matters: What stays together matters more to drugmakers than what leaves. Caremark, which runs benefits for about 87 million members, stays bolted to Aetna and CVS Specialty, so the insurer-PBM integration that drives rebate negotiations survives the split. The 9,000-store retail arm goes independent and says it will partner with other payers, PBMs and manufacturers, which makes it a possible neutral channel for cash-pay and direct-to-patient programs like Lilly's. Timing is the catch: the separation needs a Form 10, tax confirmation and board sign-off, and lands in 1H28, after the DOL's PBM fee-disclosure rule takes effect on 1 July 2027. Caremark absorbs that rule inside the bigger company first.

3️⃣ — AbbVie pays $100M upfront for Nxera's shelved gut-restricted IBD pill

  • AbbVie took global rights to NXE0033744, an oral gut-restricted EP4 receptor agonist that has completed Phase 1 in ulcerative colitis, for $100M upfront, up to $1.37B in milestones (up to $1.47B total) and tiered royalties. Nxera had culled the program in its November 2025 restructuring.

  • Why it matters: AbbVie is paying $100M for an asset its owner cut a year ago, which says more about AbbVie's IBD plan than about Nxera's science. The EP4 agonist acts on the intestinal epithelium rather than on immune signalling, and Jefferies expects it to end up in combinations, the same logic as ABBV-466, AbbVie's Skyrizi plus α4β7 Phase 2 in Crohn's. Skyrizi did $5.8B in Q3, so a low-exposure oral add-on protects the franchise as oral α4β7 rivals such as Gilead's emvistegrast advance. The data are thin: Phase 1 only, no efficacy disclosed. Nxera books the cash against a 2026 forecast now at the top of its ¥48.8B range.

  • Ideaya is closing the Phase 3 OptimUM-010 neoadjuvant darovasertib trial in uveal melanoma over site activation and enrollment problems, saving an estimated $100-125M; the metastatic darovasertib + crizotinib NDA was filed in Q3. — Ideaya Q3 release
