Upfront Briefing

Gilead is renting, not buying: $90M upfront, $25M of it in Vir stock at a 30% premium, for three masked T-cell engagers Vir had no plans to run itself, with up to $1.875B on the scoreboard if everything works. In Oxford, OMass banked a $310M Series C from Bain, Forbion and Novo Holdings to take on Neurocrine in congenital adrenal hyperplasia, a check that makes “Britain’s Big Biotech” sound less like a slogan.

Verastem ran the classic two-step: a 41% response rate in second-line-plus G12D pancreatic cancer, a $250M raise at $8 a share and a new CEO, all in one news cycle. World ADC San Diego wraps today, and the conjugate crowd has a fresh reminder that big pharma’s solid-tumor appetite now runs to masked engagers.

  • Healthcare (+2.4%) was the S&P 500’s best sector in a defensive rotation, with big pharma up 3–4% (Merck, Lilly, AstraZeneca) and the cap-weighted NBI +1.6% riding along.
  • A hot September CPI (8:30am ET) set the tone: headline 3.7% y/y vs 3.6% expected and core 2.6% vs 2.5%, energy-led, lifting the 10-year about 6bp to 5.28% as rate-hike bets firmed; tech (3.0%) was the worst sector, the Nasdaq 100 fell 2.0%, the Russell 2000 1.9% and the S&P 500 1.1%, while the Dow finished flat.
  • Market data: U.S. cash close Wednesday, 14 October 2026.

The Big 3

1
Gilead licenses three Vir masked T-cell engagers for up to $1.875B
  • Gilead is paying Vir $90M upfront, $65M in cash plus a $25M equity investment at a 30% premium, for an exclusive licence to three dual-masked PRO-XTEN T-cell engagers against undisclosed solid-tumor antigens; up to $45M in near-term preclinical milestones, up to $1.74B in later milestones and tiered high-single- to low-double-digit royalties follow.
  • Why it matters: The targets are ones Vir chose not to pursue, the candidates are preclinical, and only $135M is upfront or near-term. Gilead gets a second solid-tumor engager engine without touching Vir’s own clinical programs, VIR-5818 (HER2) and the Astellas-partnered VIR-5500 (PSMA, $315M upfront in February). For Vir, two platform deals in eight months fund oncology with non-dilutive cash, and management says more masked-TCE deals are on offer. The 30% equity premium shows Gilead wants proximity to the platform. The open question is the masking itself: clinical proof that PRO-XTEN widens the therapeutic window beyond PSMA and HER2 is still thin.

Verastem posts 41% pancreatic response rate, raises $250M
  • Verastem’s oral KRAS G12D inhibitor VS-7375 produced a 41% response rate, including two complete responses, in 22 second-line-or-later pancreatic cancer patients at 900mg daily (half of eight second-line patients responded), with 67% progression-free at six months; Verastem priced a $250M offering at $8.00 a share alongside the data and named Michael Bailey to succeed CEO Dan Paterson.
  • Why it matters: The comp that matters is Revolution Medicines’ own label: FDA review documents put Rasonque’s response rate at 24% in G12D patients versus 33% overall, the gap Verastem is aiming at. Cross-trial and small-n, but 16 of 22 still on drug at six months is enough to justify a first-line pancreatic Phase 3 starting by year-end, with lung (43%, n=23) and colorectal (33%) behind it. Shares rose 18% and the raise was sized into the move. RevMed’s G12D-selective zoldonrasib is the next bar, safety detail in the coverage is thin, and a CEO handover lands in the middle of a Phase 3 launch.

OMass raises $310M Series C to take on Neurocrine in CAH
  • Oxford-based OMass Therapeutics closed an oversubscribed $310M (£230M) Series C co-led by Bain Capital Life Sciences, Forbion and Novo Holdings, with Janus Henderson, SV Health and Jefferson Life Sciences joining existing backers including Syncona, GV and Sanofi Ventures, to take MC2 receptor antagonist OMS1620 into Phase 2 in congenital adrenal hyperplasia and ACTH-dependent Cushing’s syndrome.
  • Why it matters: OMass is raising a crossover-sized round on a Phase 1 asset that has completed only single-ascending dosing. The bet is mechanism: block the ACTH receptor itself rather than the CRF1 route Neurocrine’s Crenessity took to approval, with management arguing OMS1620 stays on the receptor longer than rivals, and a healthy-volunteer ACTH challenge could give an efficacy read before patient data. The round also funds first clinical data for a preclinical SLC15A4 lupus program, after a 2025 Genentech licence ($20M upfront) for its IBD asset. CEO Ros Deegan is not signalling an IPO, but Janus Henderson in the syndicate keeps that door open. Crinetics’ atumelnant, also an ACTH antagonist, sets the competitive bar in CAH.
