UPFRONT BRIEFING
Monday ran biotech's favorite barbell: cash for de-risked assets, no mercy for a second miss.
Merck KGaA is buying Silence for $1.3B on the strength of divesiran's Phase 2 polycythemia vera data, Roche is handing Hansoh $400M upfront for ex-China rights to a slate of ADCs, and Disc Medicine turned February's FDA rejection into a clean Phase 3 sweep before asking investors for $350M. EyePoint sits at the other end, halving headcount after Duravyu's second wet AMD Phase 3 miss. ASN Kidney Week opens in Denver Wednesday and ESMO in Madrid on Friday, so the data calendar is about to get loud.
TAPE ACTION

Market data: U.S. cash close Monday, 19 October 2026.
Small-cap biotech led the sector: XBI rose 2.5% and BBC 4.3% against NBI +0.9%, while XLV slipped 0.6%. Pre-open single-name catalysts cut both ways, with Merck KGaA's $20-per-ADS cash bid for Silence and Disc Medicine's roughly 38% jump on Phase 3 APOLLO set against EyePoint's 80%-plus collapse on LUCIA.
AI and chip stocks recouped part of last week's rout, with the Philadelphia semiconductor index snapping an eight-session losing streak, lifting the Nasdaq 100 1.2% and the S&P 500 0.4% while the Dow slipped 0.1% and most stocks outside tech fell. Weekend unrest in France knocked European indexes down more than 1% and pushed bond yields up worldwide.
THE BIG 3
1️⃣ — Merck KGaA to acquire Silence Therapeutics for $1.3B
Merck KGaA agreed to buy Silence Therapeutics for $20 per ADS in cash, about $1.3B in equity value, through a UK scheme of arrangement expected to close in Q1 2027; lead siRNA divesiran heads into Phase 3 in polycythemia vera.
Why it matters: Merck KGaA is paying an 82% premium to Silence's 30-day average of $10.99, roughly $1.1B in enterprise value once cash is netted, and the price came out of a competitive sale process. The asset is divesiran, a TMPRSS6 siRNA that produced an 88% response rate versus 19% on placebo in the Phase 2 SANRECO study. Phase 3 will dose every 12 weeks, and that interval is the commercial case against Takeda and Protagonist's Mimrylo, approved in August as a weekly self-injection. It is Kai Beckmann's second big swing as CEO after June's $11B-plus Bio-Techne agreement. Merck now carries Phase 3 cost and timing, plus zerlasiran and SLN312, both unpartnered after Hansoh and AstraZeneca handed rights back.

2️⃣ — Hansoh lands $400M upfront in broad Roche ADC pact
Roche licensed ex-Greater China rights to a slate of Hansoh ADCs for $400M upfront, another $110M on the first anniversary and up to $15B in milestones plus tiered royalties.
Why it matters: Hansoh takes each ADC through Phase 1, covering two in-house preclinical programs plus targets Roche nominated, before Roche runs global development outside Greater China; Hansoh keeps an option to co-fund two programs for extra commercial upside. That is $510M of committed cash by the first anniversary for an undisclosed, preclinical portfolio. It is Roche's second trip to Hansoh after last year's $80M upfront for CDH17 ADC HS-20110, and Hansoh already supplies GSK with B7-H3 ADC ris-rez. The deal landed three days after MOFCOM's draft rules barred foreign acquisitions of some Chinese platforms while carving out licensing, so the structure fits Beijing's new lines.

3️⃣ — Disc's bitopertin sweeps Phase 3 eight months after FDA rejection
Bitopertin met both co-primary endpoints and every key secondary in the pivotal Phase 3 APOLLO trial in erythropoietic protoporphyria, setting up a year-end resubmission after February's complete response letter.
Why it matters: APOLLO answers the question February's CRL asked. In 183 patients with EPP or XLP, 60mg bitopertin cut metal-free PPIX 41.4% versus placebo over six months (p<0.0001) and added 12.2 hours a month of pain-free time in light (p=0.0010), the clinical-outcome link the FDA said the accelerated filing lacked. Phototoxic reaction rates fell (p<0.0001); dizziness hit half of treated patients, mostly mild and transient, with nothing above grade 3. Disc will refile by year-end for a mid-2027 decision, against Scenesse, the only marketed therapy, and dersimelagon, which could be approved next year. Shares rose about 38% Monday, and Disc launched a $350M stock and pre-funded warrant offering that evening.
