  UPFRONT BRIEFING

Two deaths and a durability miss ended Artiva's NK cell bet in autoimmune disease, and the one treatment-linked death traced back to the chemo conditioning most of the field borrowed from oncology. Pfizer, meanwhile, banked a second Phase 3 win for Elrexfio and is taking it to regulators for earlier-line myeloma.

On the deal side, Ferring is paying up to $1.38B for Gameto's egg-maturation-in-a-dish IVF tech, a tidy exit for a startup that raised $127M. ESGCT runs in Hamburg through Friday, handily timed for FDA's new draft guidance on individualized gene therapies.

TAPE ACTION

  • Smaller biotech outran large-cap healthcare: XBI +2.9%, BBC +4.4% and NBI +1.9% against XLV (0.1%) and S&P health care (0.2%). Company news before the close included Artiva halting AlloNK after two trial deaths (Tue morning) and Pfizer's MagnetisMM-32 myeloma win (06:45 ET).

  • Chips led a tech rebound: SOX +3.6% with all 30 members higher, Nasdaq Composite +1.2%, NDX +1.3%, S&P +0.6% and RUT +1.2%, while the Dow finished flat (+0.03%) as Boeing fell about 10% on a delivery-target cut. Brent settled (1.7%) at $113.88 on reports Iran discussed terms to end hostilities, October consumer confidence (10:00 ET) jumped to 91.7 vs 81 expected, and the 10Y held just under 5% into today's FOMC decision.

THE BIG 3

1️⃣ — Artiva halts AlloNK after two trial deaths, cuts 94% of staff

  • Artiva discontinued AlloNK (AB-101), its allogeneic NK cell therapy given with rituximab in rheumatoid arthritis and other B-cell-driven autoimmune diseases, after two Grade 5 events in its Phase 2a basket trial. It is cutting ~94% of staff and has hired Leerink to run a strategic review, with ~$319.1M in cash at 30 September.

  • Why it matters: Only one death was linked to treatment, and investigators tied it to fludarabine neurotoxicity from the cy/flu lymphodepletion, not the NK cells; the second, a sudden death two months after dosing, was judged unrelated with cause undetermined. That moves the read-through onto the conditioning regimen most autoimmune cell therapies borrowed from oncology, days after BMS disclosed a death in its zola-cel MS trial. The kill shot was durability: longer follow-up did not hold responses, which removes the case that a lighter, one-time NK approach could match CAR-T. With $319.1M in cash and no pipeline, ARTV is now a cash shell, and Leerink's mandate runs from reverse merger to liquidation.

2️⃣ — Pfizer's Elrexfio wins a second Phase 3, heads to regulators for earlier-line myeloma

  • MagnetisMM-32 (n=523) met its BICR-assessed PFS primary endpoint at a prespecified interim: Elrexfio monotherapy beat investigator's choice of EloPd, PVd or Kd in relapsed/refractory myeloma after prior anti-CD38 and lenalidomide. Estimated 18-month PFS was 68%, median not reached, OS immature; Pfizer will file with global regulators.

  • Why it matters: US accelerated approval sits at four or more prior lines, and MagnetisMM-32 tests it after a single line containing anti-CD38 and lenalidomide, where most patients now relapse. It is the second Phase 3 win after MagnetisMM-5 in double-class-exposed patients (topline April), giving Pfizer two confirmatory legs. The gaps are the ones that set share: no hazard ratio, no comparator PFS rate, and Grade 3+ infections of 27.5% vs 18.1% despite upfront prophylaxis. J&J's Tecvayli and Talvey and CAR-T already compete for these patients, so off-the-shelf monotherapy stepping down to monthly dosing is the pitch. Wait for the hazard ratio before modelling share.

3️⃣ — Ferring to acquire Gameto for up to $1.38B

  • Ferring agreed to buy Gameto, developer of Fertilo, stem cell-derived ovarian support cells that mature eggs outside the body to cut IVF hormone stimulation, for up to $1.3825B including development, regulatory and sales milestones; the upfront was not disclosed. Fertilo is cleared in Australia and parts of Latin America and is in US Phase 3.

  • Why it matters: Gameto raised $127M since 2020, most recently a $44M Series C in August 2025 led by Overwater with RA Capital, Insight and Two Sigma, so even a modest upfront makes this one of the cleaner venture exits in women's health this year. Ferring is private and already sells the hormone side of IVF; a technology that compresses stimulation to as little as three days would eat into that volume, so the buy is defensive as much as growth. Withholding the upfront in a milestone-heavy structure says the value rides on the US Phase 3, where Gameto guided to an interim readout in late 2026, and on an FDA path for a cell-based IVF product.
