- Why it matters: Structure matters more than the headline here. Sentynl holds an option, not a licence: an undisclosed payment now, then $40M in upfront and R&D money only if it exercises, with up to $435M in milestones and double-digit tiered royalties behind that. Mereo keeps rest-of-world rights and runs the global Phase 3 itself, so the cash-burn question is unresolved. Mereo bought alvelestat from AstraZeneca for $5M upfront in 2017 — a good return on a shelved asset. The competitive frame is augmentation therapy: weekly IV pooled-plasma AAT from Grifols, CSL and Takeda is the only approved option, and an oral neutrophil elastase inhibitor attacks that franchise directly if Phase 3 delivers.
